Proposed Bylaws Changes 2023

INNS members are invited to review the 2023 Proposed Bylaws Changes.

 

Introduction

INNS was founded in 1987. In 1991, the Bylaws were modified, approved, and enacted. In 2019, a number of Office Pro Tempore were needed to handle increased responsibilities. Due to the Covid-19 situation, online meetings were adopted.

Motivation

It has been more than 30 years since the last Bylaws revision. Electronic communication is now ubiquitous and online meetings are pervasive. INNS requires more officers to provide better services to the members. 

The following changes were commissioned by Robert Kozma (INNS President 2017-2018) and spearheaded by Irwin King (INNS President 2019-2020) and approved by the Board of Governors.

Revisions

The proposed bylaws changes include:

  • Updating the Vice President for Conferences position title to Vice President for Conferences and Technical Activities
  • Adding three new Vice Presidents: Vice President for Education, Vice President for Public Relations, and Vice President for Industry Relations
  • Updating the qualification for Vice Presidents: Vice Presidents will be chosen from current or previous Board members or officers.
  • Updating the position description of Secretary: The Secretary has voting power.
  • Updating the position description of Treasurer: The Treasurer has voting power.
  • Inclusion of position descriptions for Vice President for Education, Vice President for Public Relations, and Vice President for Industry Relations (see 2022 Bylaws document, pg. 13)
  • Updating the Amendment of the Bylaws section (see 2022 Bylaws document, pg. 15)
  • Updating the Indemnification and Insurance section (see 2022 Bylaws document, pg. 15-16)
  • Updating the Nomination Procedures for the Board of Governors: The Nominating Committee shall nominate a number of candidates for Governor-at-Large, equal to at least twice one and a half times the number of Governors-at-Large to be elected.
